Brazilian Society of Animal Science Statute

Title I

Denomination, Headquarters and Duration

Article 1 – This is a nonprofit scientific Association of unlimited duration, founded on July 26, 1951, called Brazilian Society of Animal Science and identified by the acronym SBZ.  Its headquarters and legal representation are located in the city of Brasilia, DF and its address is SHC/Norte, Comércio Local, Quadra 310, Bloco B, Sala 35, Subsolo.

Sole paragraph – there will be one state-level Board of Directors in each state of the country, entrusted with being the liaison between the Board of Directors and its members.

Title II

Objectives

Article 2 – The following are the objectives of the SBZ:

I. to bring together professionals involved with Animal Science;

II. to promote an exchange between these professionals in the country and abroad, thus fostering mutual relationships;

III. to hold Annual Meetings;

IV. to hold extraordinary meetings, congresses, conferences or conventions, on a national or international level, or any Animal Science related topic, as well as to participate in meetings held by other, similar organizations;

V. to divulge the work done by its members to all other members, albeit sometimes in summarized form, through systematic publications;

VI. to organize specialized member commissions to study topics of national interest;

VII. to make every effort towards perfecting livestock in the country, and towards teaching, research and extension; and

VIII. to participate in sectoral chambers related to Animal Science.

Title III

Members

Article 3 – An unlimited number of individuals and corporations may become SBZ members, as part of one of the following member categories:

I. contributors: individuals (over 16 years of age) or corporations who contribute through an annual fee established by the Board of Directors and approved by an Ordinary General Assembly referendum;

II. honorary members: individuals who have given relevant contributions to the field of Animal Science, whose contributions are recognized by three fourths of all members present in the General Assembly;

III. distinguished members: individuals who have rendered relevant services to the SBZ and are recognized as such by three fourths of all members present in the General Assembly.

Article 4 – The admission of new members will occur through an indication by one or more members or by request by the interested individual or corporation, after approval by the Board of Directors.

Article 5 – A member can leave the Society upon his or her request, made to the Board of Directors.  That individual can then only be re-admitted after 12 months have transpired since his or her departure from the Society.

Article 6 – A member will be excluded from the society when he or she is late in paying his or her annual fee for two consecutive years, or if he or she goes against the principles and guidelines of this statute and the applicable legislation.  An appeal can be forwarded to the General Assembly within up to seven days as of the moment when the decision has been made public.

Article 7 – The following are the rights of individual or corporate members - in the case of corporations, these apply to their legal representatives:

I. to participate in the activities promoted by the Association;

II. to participate in the General Assemblies;

III. to vote, after a latency period of six months as of the enrollment in the Society; he or she can also be elected, according to the conditions set forth in article 12, paragraph 3;
IV. to represent SBZ, whenever designated to do so by the Board of Directors;

V. to receive – or gain access to - the Brazilian Journal of Animal Science;

Article 8 – It is the duty of every member to:

I. follow the guidelines set forth in this statute;

II. pay his or her fees in a timely fashion.

Title IV

Organization

Article 9 - The following bodies make up SBZ:

I. General Assembly

II. Board of Directors

III. Consulting Council

Section I

General Assembly

Article 10 – The General Assembly, be it ordinary or extraordinary, is the sovereign body of SBZ, within the confines of the Law and of this statute, and will be constituted by half plus one of all members who are up to date with their payments for its first instance, and by any number of members in its second instance.

Article 11 – The following are the exclusive responsibilities of the General Assembly:

I. to elect the 3rd Vice-President;

II. to remove managers;

III. to approve the accounts;

IV. to change the statute.

First paragraph – For the deliberations referred to in items II e IV, there must be consensus in the votes of two thirds of the members present in an assembly that has been especially convened to deliberate on the issue at hand.  In its first instance, it may not deliberate without the agreement of the absolute majority of members or without less than a third in subsequent instances.

Second paragraph – The General Assembly will be held in the last plenary session of the SBZ Annual Meeting, after the other conclave sessions.

Section II

Board of Directors

Article 12 – The Board of Directors is SBZ's executive body, composed of the following members:

I. President;

II. 1st Vice-President;

III. 2nd Vice-President;

IV. 3rd Vice-President;

V. Secretary;

VI.  Treasurer.

Paragraph 1 – The position of President will annually be given to the first Vice-President, which will also result in the promotion of those in the other Vice-President positions.

Paragraph 2 – The positions of Secretary and Treasurer are trust-based positions - the President will select the people to take these positions.

Paragraph 3 – To be selected as 3rd Vice-President, the candidate must have a bachelor-level degree and must be a member of SBZ for at least six months.

Paragraph 4 – The Board of Directors will receive administrative support from the Executive Secretariat, headed by the Executive Secretary and assisted by a team hired with SBZ's own resources, in order to ensure the administrative continuity of the work, plans and projects conducted by SBZ.

Paragraph 5 – To institute its editorial policy, the Board of Directors will receive support from the Editor-in-chief, assisted by an administrative team hired with SBZ's own resources.

Paragraph 6 – The members of the Board of Directors will not be paid for working in their positions.

Article 13 - The following are the responsibilities of the Board of Directors:

I. to obey this statute and ensure its obedience, as well as assembly and meeting regulations and resolutions;

II. to make decisions regarding administrative expenditures;

III. to render accounts of this administration during the ordinary General Assembly;

IV. to send, within 60 days of taking office, the accounts rendering and other administration-related documents (files, notary records, etc.) to the new Board of Directors.

Article 14 - The following are the President's responsibilities:

I. to represent SBZ, legally or otherwise;

II. to call for assemblies and meetings;

III. to open and preside over the work done by ordinary and extraordinary meetings and assemblies;

IV. to sign payment orders and titles, jointly with the Treasurer;

V. to authorize SBZ expenditures;

VI. to present the annual report

VII. to nominate the Executive Secretary, the Editor-in-chief for the Journal and the State Directors;

VIII. to nominate specialized commissions;

IX. to hire auditing for SBZ accounts.

Article 15 – It is the responsibility of the 1st Vice-President to promote the SBZ Annual Meeting, according to the regulations approved by the Consulting Council.

Article 16 – It is the responsibility of the 2nd Vice-President to promote an international event parallel and together with the SBZ Annual Meeting, by articulating with the Board of Directors and following the regulations approved by the Consulting Council.

Article 17 - It is the responsibility of the 3rd Vice-President to:

I. permanently articulate with the state Board of Directors, the Executive Secretariat and the body of members, seeking unity and an increase in the total number of SBZ members; and

II. identify new potential locations and institutions which may be made responsible for holding the SBZ Annual Meeting, and present a report containing suggestions to the Consulting Council.

Article 18 - It is the responsibility of the Secretary to:

I. substitute the President when necessary;

II. provide guidance and work with the Secretary service;

III. prepare and send press releases;

IV.  prepare correspondence; and

V. record a minute of all the topics discussed in the Board of Directors meetings.

Article 19 - It is the responsibility of the Treasurer to:

I. substitute the Secretary when necessary;

II. ensure that SBZ’s accounts recorded;

III. ensure that all accounts authorized by the President are paid;

IV. deposit all the amounts received by SBZ in a legally-constituted bank;

V. present SBZ's financial balance.

Article 20 - It is the responsibility of the Executive Secretary to:

I. assist the Board of Directors in administrative issues pertaining to SBZ;

II. keep members permanently informed about SBZ activities;

III. keep a file of SBZ’s legal documents, in accordance to legal norms, and keep it permanently updated;

IV. manage SBZ's assets and real estate;

V. maintain permanent contact with the State Directors, the Editor-in-chief and SBZ sectors, in order to articulate activities and attend to their needs;

VI. keep updated records of member admissions and exclusions, as well as their situation with SBZ;

VII. organize and maintain a collection of objects, publications, documents, etc. that constitute SBZ's memory;

VIII. carry out administrative tasks attributed by the Board of Directors;

IX. receive members’ annual fees;

X. upon request, provide color codes, as well as files containing SBZ's logo, to be used in publications authorized by the Board of Directors.

Article 21 – it is the responsibility of the Editor-in-chief to:

I. supervise the publication and distribution of the Journal;

II. submit the names of the writers, the scientific editor and other Journal employees to the Board of Directors;

III. assist the President in Journal-related issues;

IV. compile the annual budget and forward it to the Board of Directors;

V. present the activities report of the Journal to the Board of Directors.

Article 22 – It is the responsibility of the State Director to:

I. promote SBZ;

II. bring together individuals and corporations in order to affiliate them to SBZ;

III. promote technical and scientific events that may be of interest to SBZ;

IV. keep an updated file of state members;

V. hold specific activities, as requested by the Board of Directors;

VI. foster state participation in the Annual Meeting;

VII. forward a financial and activities report to the Executive Secretariat, within a reasonable time period, so that they can be analyzed by the Board of Directors during the Annual Meeting;

VIII. maintain information exchange with the Board of Directors.

Section III

Consulting Council

Article 23 – The Consulting Council will be made up of the Board of Directors and ex-Presidents.

Article 24 – It is the responsibility of the Consulting Council to:

I. assist the Board of Directors in SBZ’s administrative affairs;

II. analyze and approve the 3rd Vice-President’s report, according to Article 17, item II of this statute;

III. approve the candidacies for the position of 3rd Vice-President;

IV. approve the regulations in this statute;

V. resolve any issues not included in this statute.

Title V

Annual Meetings

Article 25 – Every year, the SBZ will hold an Annual Meeting to bring together technicians from the different fields of Animal Science, according to Article 4 and the set of regulations approved by the Consulting Council.

Title VI

Elections and Taking Office

Article 26 – The 3rd Vice-President of SBZ will be elected through a mail-in voting process (regular mail or e-mail).

Sole paragraph – The procedures for submitting candidacies and developing the electoral process will be set forth by the Board of Directors and divulged six months before.

Article 27 – Board of Directors members will take office yearly, during the Ordinary General Assembly - the Editor-in-chief and Executive Secretary will also be nominated during the Ordinary General Assembly.

Paragraph 5 – The SBZ Board of Directors will make the electoral process and its set of regulations publicly available at the SBZ page (website), through electronic correspondence (e-mail) and regular mail (through the Brazilian post office), which will be sent to all members who are up-to-date in their financial obligations with the Treasury.

Title VII

Publications

Article 28 – SBZ will have two publications:

   1. the Brazilian Journal of Animal Science;
   2. the Annual Meeting Compilations.

Article 29 – The Brazilian Journal of Animal Science will be published periodically, according to financial availability.

Paragraph 1 – Papers must be published in their entirety and must be written by members or, at the SBZ Board of Directors’ discretion, nonmembers.

Paragraph 2 – The Journal will be made available online or through a printed version sent to all members who are up-to-date with their financial obligations with the treasury and who have chosen to receive a printed copy and have paid the additional fee set forth by the Board of Directors.

Paragraph 3 – The Journal, regulated by the internal set of regulations approved by the Consulting Council, will be supervised by the Editor-in-chief, with assistance from the Scientific Editor, Secretariat, and Consulting Council.

Article 30 – The Compilations will contain a summary of all the works presented at the Annual Meetings.

Title VIII

Awards

Article 31 – SBZ will, in each Annual Meeting, give out the following awards, each one with its own set of regulations:

I. The Brazilian Society of Animal Science Award, given to a professional of renowned merit;

II. The Professor Otávio Domingues Award, given to the best masters-level dissertation and the best doctorate thesis presented in the previous year;

III. The Professor Geraldo Gonçalves Carneiro Award, given to the best article published in the previous year in a Journal or periodical with an independent editorial body;

IV. The Professor Ismar Leal Barreto Award, given to the best work presented in the previous Annual Meeting.

Sole paragraph – Other awards may only be given after they have been approved in earlier assemblies.

Title IX

Revenue, Expenditures, Assets and Accounts Rendering

Article 32 – SBZ revenue may be ordinary or extraordinary.  Ordinary revenue is composed of members’ annual fees; the extraordinary revenue comes from donations, meeting enrollment fees, interest on money deposited, sale of publications and any other type of resource.

Article 33 – SBZ’s assets are made up of furniture, real estate, free-moving animals, different installations, libraries and editorial properties acquired through purchase or donation not just by the Board of Directors but also by the respective sections.

Article 34 – Accounts rendering will occur according to Article 13 of this statute.

Title X

General Dispositions

Article 35 – Members are not individually or indirectly liable, legally or otherwise, for commitments made by SBZ.

Article 36 – Discussions about religion or political parties are prohibited during SBZ meetings and sessions.

Article 37 – The Brazilian Society of Animal Science can only be dissolved if it has less than seven members, and all of them have agreed with the dissolution.  In this case, the assets must be given to another entity with the same goals, if one such entity exists or - in case one does not - transformed into money, deposited in a legally-constituted bank and made available to the first legally-organized entity with the same objectives.

Article 38 – The Board of Directors will hastily provide the legal registration of the Social Statutes, as well as a hard copy of the statutes, so that they can become known by all members.

Article 39 – This statute was approved by the members of the Brazilian Society of Animal Science convened on July 26, 2007, in the city of Jaboticabal, SP.

Article 40 – The following members are the founders of SBZ, and their names are included in the founding document: Adibe Jorge Roston, Adhemar Spallini, Alcides di Paravicini Torres, Antônio PratesTrivelin, Aristeu Mendes Peixoto, Brenno M. de Moraes Andrade, Celso Lemaire de Moraes, Dante Rando, Edgard do Amaral Graner, José de Mello Moraes, Loureliz Rodrigues Lourenço, Milton Quintana, Nicolau Athanassof, Octavio Domingues, Roberto Meirelles de Miranda , Waldemar Raythe and Walter Ramos Jardim.

Article 41 – Any issues not included in this statute will be resolved by the Consulting Council.

Title XI

Transitional Dispositions

Article 42 – The Board of Directors that took office on July 26, 2007, will, by December 31 of this year, compile the regulations included in this statute. To do this, it must designate a Special Commission which will abide by the aforementioned deadline in concluding its work.

Article 43 – Institutional Affairs Directors elected in the assemblies of the 43rd and 44th Annual Meetings will take the position of First and Second Vice-Presidents, respectively, during the 45th Annual Meeting Assembly.

Article 44 – The first election regulated by this statute will take place in 2009, by swearing in the third Vice-President elected in the closing session of the 47th Annual Meeting Assembly, in 2010.

Article 45 – In 2010, the year when the 47th Annual Meeting will take place, there will not be an election for 3rd Vice-President - the President and the Vice-President will remain in the Board of Directors.

Article 46 – In 2011, during the 48th Annual Meeting, the annual election proceedings for third Vice-President will restart, according to this statute.
